本世紀初國際私法界最受矚目之大事，莫過於海峽兩岸幾乎同時通過了新國際私法之立法，而海峽兩岸新國際私法於涉外契約之法律適用皆呈現嶄新面貌，除了繼續採行「當事人意思自主原則」外，於契約客觀準據法之確定皆採行「特徵性履行理論」，使「特徵性履行理論」成為海峽兩岸新國際私法中確定契約客觀準據法之關鍵。本文乃以「特徵性履行理論」之適用為中心，分析、檢視海峽兩岸新國際私法契約準據法之規定，期能對現實適用時所可能引發之問題與疑義，提供一些可參酌之說明。

Both sides of the Taiwan Straits have passed their new private international law in 2010, and both legislations became effective in 2011. These two new private international law legislations will inevitably influence the developments of private international law and give international contract law a whole new application. In addition to continuing the principle of party autonomy, both legislations adopted the theory of characteristic performance, which now becomes the key to objective standard for the cross-strait new international choice of law in contract. This paper will, using the theory of characteristic performance, analyze and examine the new regulations regarding international choice of law and contract applicable to cross-straits, in the hope of providing relevant interpretation regarding the future controversial issues that may arise.
