金融監理為維繫金融市場穩定的重要機制，其法律面主要的工具包含銀行法、公司法、證券交易法。我國 2016 年發生金融機構遭到美國裁罰案件，凸顯我國金融機構之公司治理中，董事會職能的透明度及其揭露問題，本文介紹公司治理人員制度因其已非昔日之行政庶務人員，其今日之角色為主要的公司治理守門員。
此一制度在我國仍屬陌生，因此本文將介紹公司治理人員制度，包含名稱、法源位階、職權及責任，並且同以同為成文法系但早在 1993 年引進公司治理人員之中國大陸為例，實證分析其公司治理人員之責任類型。且我國金管會在公司治理藍圖中已逐步推動此一制度，2019 年已強制要求一定規模之上市公司至少設置一名公司治理人員，因此本文藉由比較法觀點初探公司治理人員制度，作為我國未來施行此一制度之參考。

Financial supervision is a very important institution to maintain financial market sustainability. Corporate law, banking law, and securities regulation are main legal tools. In 2016, one Taiwanese financial institution was fined by United States authority and it showed the problem of its board’s transparency and disclosure. This paper introduce the corporate governance officer institution because it can enhance the board’s function.
This institution is still very unfamiliar in Taiwan, therefore this paper introduces this institution including title, legal authority and its duty. Mainland China which is also a civil law country imported this institution in 1993, this paper uses an empirical method to analysis the duties of corporate governance officer and categorize it .The Financial Supervisory Commission has promoted this institution in the corporate governance road map and requires some of the public held companies to install one corporate governance officer in 2019. After analyzing this institution from a comparative perspective, this paper tried to offer some practical suggestion for future reference .
